Terms of Service

These terms outline the general basis on which Celvencia provides website, landing page, automation, support, and related digital services.

1. Services

Celvencia provides productized and custom digital services, which may include website design and development, landing pages, conversion improvements, automation setup, maintenance, advisory calls, and related implementation work. The exact scope depends on the purchased package or written agreement.

2. Scope and deliverables

Each engagement is governed by the published package description, a written proposal, or an agreed scope confirmation. Deliverables, timelines, revision limits, and support terms vary depending on the selected service. Anything outside the defined scope may require a separate estimate, timeline adjustment, or change request.

3. Client responsibilities

Clients are responsible for providing accurate information, timely feedback, required content, approvals, account access, and any third-party credentials needed for the work. Delays in these inputs may affect delivery timing and may require the project to be rescheduled.

4. Timelines

Delivery windows are estimates based on normal project flow and timely client participation. Celvencia is not responsible for delays caused by missing content, delayed feedback, unavailable access, third-party service issues, force majeure events, or materially changed project requirements.

5. Revisions and changes

Reasonable revisions within the agreed scope may be included depending on the package. Requests that materially change structure, functionality, copy volume, integration requirements, or project direction may be treated as additional work and quoted separately.

6. Payments

Payments may be collected upfront, in staged milestones, or through subscription billing depending on the service. Work may be scheduled only after the required payment has been received. Celvencia may pause delivery, support, or access if invoices or subscription charges remain unpaid.

7. Subscriptions and ongoing support

Monthly services renew according to the stated billing cycle until cancelled. Ongoing support covers only the service level described in the relevant offer or agreement. Extensive redesign work, major feature additions, or large content changes are not included unless specifically agreed.

8. Intellectual property

Upon full payment, the client receives the rights intended under the package or written agreement for the final approved deliverables, excluding third-party tools, plugins, fonts, assets, or software that remain governed by their own licenses. Celvencia may retain the right to reuse non-confidential know-how, methods, frameworks, and internal systems.

9. Third-party services

Projects may rely on external providers such as hosting companies, payment processors, schedulers, analytics tools, email tools, CRM systems, or automation platforms. Celvencia is not liable for outages, policy changes, account suspensions, pricing changes, or failures caused by third-party services.

10. Limitation of liability

Celvencia provides services in good faith and with reasonable care, but does not guarantee uninterrupted operation, specific revenue outcomes, or business performance. To the maximum extent allowed by law, liability is limited to the amount paid for the relevant service giving rise to the claim.

11. Termination

Celvencia may decline, pause, or terminate work where there is abusive conduct, non-payment, prolonged inactivity, or material breach of agreed terms. Clients may also end future work, though any completed work, reserved delivery capacity, or already-billed service periods remain subject to the applicable payment and refund policy.
